Terms of Service
Last updated: 29 September 2026
These Terms of Service set out the terms on which you may use solifein.com (the "Website") and on which SOLIFEIN SOLUTIONS PRIVATE LIMITED, trading as SoLifeIN ("SoLifeIN", "we", "us", or "our"), provides its services to clients. We are a media, branding, marketing & commerce company based in India.
By using the Website, or by engaging us for any service, you agree to these terms. How we handle personal data is covered separately in our Privacy Policy.
01Your engagement with us
Every engagement starts with a written scope: a proposal or quote that sets out the work, the deliverables and the fee for your brand. That scope, together with these terms, forms our agreement with you. If the two ever conflict, the written scope takes priority for that engagement.
- Packages — Launch, Scale, Enterprise and Apex — combine a one-time build with an ongoing monthly retainer, and each has a minimum term (see section 03).
- Project work is a single, defined piece of work — for example one discipline such as ads — scoped and priced as a project rather than a retainer.
- App maintenance, where your package includes it, covers keeping your app working: compatibility with new Android and iOS versions, crash and bug fixes, and app-store compliance. New screens, features or integrations are not maintenance: new screens are charged at our published price per extra screen, and new features or integrations are project work, quoted separately.
- Designs and content. A design is one finished graphic, such as a post, story or banner; resizing it for another platform is part of the same design. A content piece is one post, carousel or blog article, or, where your package includes video, one short video of up to 60 seconds edited from footage you supply or from stock footage; filming and longer videos are quoted separately. Each design and content piece includes 2 rounds of changes; further rounds count as a new piece. Your monthly allowance is for that month: unused designs and content pieces do not carry over.
- Builds. Each package's one-time build has the limits published for it: pages, products uploaded and integrations. A page is one distinct page of the site, such as home, about, a collection or category, contact or a policy page; the individual product pages created from your catalogue count as products, not pages. A product is one product uploaded with its photos, description and variants. An integration is connecting one outside service, such as a payment gateway, shipping, WhatsApp, email marketing or a reviews app. Anything beyond those limits is project work, quoted separately. Every build also includes a speed pass before launch (images, code and loading tuned for Google's Core Web Vitals; scores also depend on your platform, theme and apps, so we don't promise a number) and a mobile-first accessibility baseline (readable text, large tap targets, colour contrast and keyboard use).
- Apps. Where your package includes an app, its scope is as published for your package or set out in your quote. Screens beyond that scope are charged at our published price per extra screen. Sign-in is by email or Google; if you choose SMS (OTP) sign-in, message charges are billed to you at cost. We submit your app to Apple and Google and respond to their review feedback, but approval, rejection and review times are their decisions, so we cannot guarantee approval or a go-live date. Your app is published under your own Apple and Google developer accounts, which you open and pay for; you give us access to publish and maintain it, and the store listings are yours. Checkout uses your store's existing checkout; a custom backend, admin panel, in-app payment gateway, offline mode or third-party integrations are project work, quoted separately.
- Content changes on a custom-coded site. Where your package includes a custom-coded website, it includes a content editor for text, images and blog posts, which you use yourself. We also make up to 5 change requests a month for you; a change request is one change to one page or section. Further requests, new pages and new layouts are project work, quoted separately.
- AI agents and handover. Where your package includes AI agents, you choose them from our published agent library, up to the number in your package. Every agent hands the conversation to a person on your side or ours, with the full conversation, when the customer asks for one, when the agent cannot answer, or when the customer is unhappy. The person replies in working hours unless you staff it for longer. Agents work within limits on what they may say or do that we agree with you.
- AI agents and fair use. Where your package includes AI agents, it includes a monthly allowance of agent conversations. Usage above that allowance is billed at our overage rate. The allowance and the overage rate for each package are published on our pricing page before agents become available, and apply from then.
02Fees and billing
- Build fees are one-time and payable as set out in your quote. Retainer fees are a fixed monthly amount, as listed for your package on the Website or as quoted, and are billed monthly in advance. Project fees are as set out in the project quote.
- Payment is due as stated on each invoice. Prices on the Website and in our quotes exclude GST; applicable taxes, including GST, are charged in addition. Services to clients outside India are billed as an export of services, without GST, where the law allows, and are paid in USD by international bank transfer to the account named on the invoice; we do not accept international card payments.
- If a payment is overdue, we may pause work until it is received.
- Not included in our fees: advertising spend; fees paid to influencers and creators; Shopify plan fees and paid Shopify apps (you pay these to Shopify directly; the backup app on Shopify stores we run for you is the exception, which we cover); fees for your email marketing tool; Meta's WhatsApp conversation charges; SMS message charges; payment-gateway fees; Apple and Google developer-account fees for your app; premium domains and domains beyond your package's allowance (billed at cost); and hosting for a custom-coded site beyond fair use (unusually heavy traffic is billed at cost).
- Advertising spend is separate from our fee. You pay advertising platforms such as Meta and Google directly for the media they run; our fee covers managing that spend, not the spend itself.
03Minimum terms and ending a retainer
Each package has a minimum term: 6 months for Launch and Scale, 12 months for Enterprise and 24 months for Apex, unless your quote states otherwise.
- If you end a retainer before its minimum term is complete, the fees for the remaining months of the minimum term are payable.
- After the minimum term, the retainer continues month to month and either you or we may end it at any time. It then runs until the end of the month you have already paid for and is simply not renewed.
- A month's fee is non-refundable once that month has started.
- When an engagement ends, and once all amounts due have been paid, we will hand over the work we have completed for you and return any access you gave us. For a custom-coded site or an app, that includes its full source code and design files; your app stays in your own developer accounts.
- Minimum terms apply to engagements that start on or after 21 September 2026. Retainers that began before then continue without a minimum term, as they were agreed.
Changing your package or price.
- Upgrading: you can move to a higher package at any time. The new monthly fee applies from the upgrade date, with the current month's difference prorated, and the new package's minimum term starts from that date. Upgrading does not include the higher package's build. If the upgrade needs new build work (for example a larger store, or the custom-coded site and app that come with Apex), it is quoted separately, and you pay at least the difference between the two packages' build fees.
- Downgrading: once your minimum term is complete, you can move to a lower package from the start of your next billing month.
- Discovery sprint: a 2-week sprint at the price on our pricing page, paid in advance and not refundable once started. If you sign a package within 60 days of the sprint ending, the full sprint fee is deducted from that package's build fee. If an offer has waived that build fee, there is nothing to deduct it from, so the sprint fee is neither credited nor refunded; the credit is not itself an offer.
- Revenue Leak Report: a written report of 2–3 pages on your store's public homepage and one product page, sold on our website on its own or straight after a free Leak Check, at the price shown there, which includes GST (the regular price, or a published offer price until the offer's end date). It contains what our website lists for it: the problems our checks found, ranked, with the evidence and how to fix each one; the results of Google's mobile speed test where Google returns them; the result of every check; a suggested 90-day plan; and the package we would recommend. Where our AI analyst is used, it writes from the evidence collected on your pages only, and our checks and its analysis can be wrong: verify before you act. The report does not cover your other pages, your cart and checkout, your ads accounts or your competitors; that is work we quote separately or do in a package. It does not include access to our client portal. You pay in advance through our payment provider; the report opens as soon as the payment is confirmed and our checks have run (usually within a few minutes), and we email it to you with an order ID and a payment receipt, followed by a GST invoice. If we can't deliver the report, we refund you in full; once it has been shown to you, it isn't refundable. If you sign any package within 30 days of the day you bought the report, the full amount you paid comes off your first invoice: off the build fee, or off your first month's retainer if an offer has made your build fee ₹0. One credit per client: a report credit and a discovery-sprint credit can't both be used. The report reflects your store at the moment it was checked and does not promise any result.
- Leak Check credits: after the free Leak Checks available to you on a day are used, you can buy more at the prices shown on our website, including GST. Each credit runs one free Leak Check (not a Revenue Leak Report); credits are used only after your free checks run out, are valid for 90 days from purchase and are not refundable, except that a check that fails because your store can't be reached gives the credit back.
- Add-ons: add-ons are charged at the price published on our pricing page, plus GST. Monthly add-ons can be added at any time and removed from your next billing month; one-off add-ons are billed when the work is done.
- Offers: an offer applies only as published on our pricing page or set out in your quote, one offer per client, and offers cannot be combined. Where an offer waives your build fee, it carries a minimum term (12 months for the Founding Client offer, 6 months for the Diwali offer); if you end the engagement before that term, the waived build fee becomes payable. A Founding Client's monthly price is held for 24 months from the start of the engagement, and any case study or testimonial they give us is labelled "Founding client" wherever we show it. The Diwali launch price for the Revenue Leak Report (half its regular price) applies to reports paid for by the same deadline; after it, the report is at its regular price. The Diwali offer closes at 23:59 IST on 8 November 2026 and the Founding Client offer closes when its 10 places are taken.
- Price reviews: your monthly fee is held for your minimum term or 12 months from the start of your engagement, whichever is longer (so 24 months on Apex). If a written offer or your quote locks your price for longer, that longer period applies. After that we may review it once a year, and we will give you at least 30 days' written notice before a new price applies.
04What we need from you
- Timely access to the accounts, information and materials the work depends on, and timely feedback and approvals. Delays on either side can move timelines.
- You are responsible for the accuracy of the information you give us, and for having the rights to any material you ask us to use — logos, product images, copy and the like.
- Once you approve a piece of work for publishing, it is treated as accepted.
- Legal page templates. Where your package includes privacy, terms, refund or shipping pages for your own website, we supply them as templates. They are not legal advice and are not tailored to your business's legal position. Have them reviewed by your own lawyer before you publish them; you are responsible for the final text on your site.
- Your ad accounts, social profiles, store and domains remain yours. We work in them with the access you give us.
- Support. Our working hours are Monday to Saturday, 10:00–19:00 IST, excluding public holidays. The response time in your package is for our first response, counted in working hours. Where your package includes 24×7 on-call, an outage of your site or app outside working hours gets a response within 1 hour, at any time. If something isn't resolved to your satisfaction, escalate it to your named manager (Enterprise and Apex) or directly to our founder, Divesh Agarwal, at divesh@solifein.com.
05Who owns the work
- Once you have paid for it in full, you own the work we create specifically for you — content, brand assets, store build, website and app source code, and other deliverables. Until then, it remains ours.
- We keep ownership of what we bring to the work and use across clients: our own tools, templates, processes and know-how. Where any of it is built into work we hand over to you, such as reusable code in your site or app, you may keep using it as part of that work, without further charge.
- Your accounts are yours. Your marketplace seller accounts, social media profiles, Meta Business account, YouTube channel, Shopify store and app developer accounts are opened in your business's name and stay under your control. We work in them through user or partner access that you grant, and we never open them under our own email. When our engagement ends, you remove our access and nothing needs to be transferred.
- We may show work that has been published publicly in our portfolio and case studies. We never disclose your confidential information in doing so.
06Results and third-party platforms
We work hard for outcomes, but marketing results depend on factors outside anyone's control. We do not guarantee any specific result — such as reach, sales, ad performance or search rankings — and results we have achieved for others, including figures shown on the Website, are not a promise of the same results for you.
Much of our work runs on third-party platforms such as Meta, Google and Shopify, each with its own terms and policies. We are not responsible for those platforms' decisions or changes — including ad disapprovals, account restrictions, algorithm changes or outages.
Marketplace and platform approvals. Where we apply to a marketplace, quick-commerce app or other platform on your behalf, we handle the application, catalogue, onboarding and ongoing management. Whether you are accepted, and in which categories, is that platform's decision, so we cannot guarantee a listing.
Uptime. Where your package states an uptime target, it is a target we work to, not a guarantee, and no service credits or refunds apply if it is missed.
07Confidentiality
Each of us will keep the other's confidential business information confidential, and use it only for the purposes of our work together. This does not apply to information that is already public, or that we are required by law to disclose.
Personal data. Where we process personal data on your behalf — such as your customers' details, or the conversations your AI agents handle — our Data Processing Agreement applies and forms part of these terms. Your data never trains AI models for anyone else.
08Limitation of liability
We are not liable for any indirect or consequential loss, such as lost profits, lost revenue or lost data. Our total liability to you arising out of or in connection with our services is limited to the fees you paid us in the three months before the event giving rise to the claim. Nothing in these terms limits any liability that cannot be limited under applicable law.
09Using the Website
- You may use the Website for lawful purposes only, and must not attempt to disrupt it, gain unauthorised access to it, or misuse its forms.
- Our content and design are ours. Everything on the Website — text, design, layout, code, images, package structures, pricing tables, the agent library and the SoLifeIN name and logo — is owned by SoLifeIN or used under licence and is protected by the Copyright Act, 1957 and the Trade Marks Act, 1999. You may read it and share links to it. You may not copy, reproduce, adapt, frame, mirror or republish any of it, in whole or in part, for a competing business or any commercial purpose, or use automated tools to scrape, harvest or bulk-download it, without our written permission. Where we find a copy of the Website or its content, we will use the remedies the law gives us, including takedown notices to the host and search engines and a claim for damages and costs.
- The Website links to other properties, including our online store at store.solifein.com, which runs on Shopify under its own terms. We are not responsible for websites we do not operate.
- We work to keep the Website accurate and available, but provide it "as is" and cannot guarantee it will always be uninterrupted or error-free.
10Changes to these terms
We may update these terms from time to time. When we do, we will change the "Last updated" date above. For an engagement already under way, changes take effect from your next billing month.
11Governing law and disputes
These terms are governed by the laws of India. If a dispute arises, we would ask you to contact us first so we can try to resolve it directly. Any dispute that cannot be resolved that way is subject to the jurisdiction of the courts at Lucknow.
